Mergers & Acquisitions (M&A)

• Advising on transaction strategies and deal structures in compliance with Vietnamese laws.
• Preparing pre-transaction documents such as Letters of Intent (LOI) and Memoranda of Understanding (MOU).
• Conducting Legal Due Diligence to assess legal risks, opportunities, and the target company’s compliance and value.
• Drafting and reviewing transaction documents, share or asset transfer agreements, and negotiating key terms and conditions.
• Assisting with registration procedures for capital transfer, merger, demerger, or consolidation of enterprises.
• Advising on competition and economic concentration procedures.
• Supporting post-transaction matters, including licensing and regulatory filings.
